At no time is a broker the agent for Headwater Leasing.  Any such notation on a carrier agreement signed after July 2023 was signed under duress and has no force and effect.

 Brokers arrange transportation, but don't own trucks or drivers. They find carriers to haul freight for shippers and handle the logistics, including finding the right carrier, negotiating rates, and coordinating the move.

 The Federal Motor Carrier Safety Administration (FMCSA) plays a central role in regulating freight brokers and carriers involved in interstate commerce. Specifically, 49 CFR Part 371 outlines the requirements for brokers, covering areas such as registration, financial responsibility (requiring a surety bond or trust fund), recordkeeping, and preventing misrepresentation.

 Misrepresenting a broker as a carrier is prohibited by law. Specifically, 49 CFR Part 371.7(b) states: "A broker shall not, directly or indirectly, represent its operations to be that of a carrier". Any advertising must clearly indicate the broker status of the operation. 

 

 A broker or freight forwarder operating without proper registration or misrepresenting itself can face penalties, including a civil penalty up to $10,000 per offense. 


 If a broker acts outside their authorized role and takes on responsibilities typically associated with a carrier, they can be held to the same liability standards, according to legal experts.
